Rabu, 1 Februari 2012 akan menjadi hari bersejarah bagi perusahaan jejaring sosial terpopuler saat ini, Facebook. Rabu kemarin, United States Securities and Exchange Commission resmi menerima Form S-1 dari Facebook, Inc.

Apa itu Form S-1?

Form S-1 is an SEC filing used by public companies to register their securities with the U.S. Securities and Exchange Commission (SEC) as the "registration statement under the Securities Act of 1933". The S-1 contains the basic business and financial information on an issuer with respect to a specific securities offering. Investors may use the prospectus to consider the merits of an offering and make educated investment decisions (Wikipedia).

Singkat kata, Form S-1 adalah dokumen pendaftaran efek pada Komisi Sekuritas dan Bursa Amerika Serikat (United States Securities and Exchange Commision). Ini artinya Facebook, Inc akan melepaskan sejumlah sahamnya ke publik. Namun, jumlah persen saham yang akan dilego tidak disebutkan dalam dokumen setebal 199 halaman yang diajukan perusahaan besutan Mark Zuckenberg ini. Dokumen tersebut hanya menerangkan tentang IPO (Initial Public Offering) yang nilainya luar biasa, US$5 milliar. Nilai tersebut telah melampaui rekor IPO yang telah diukir oleh Google, Inc. Pada 2004 silam, IPO Google, Inc tercatat sebesar US$1,9 miliar.

Sebenarnya, angka US$ 5 miliar bukanlah nilai IPO terbesar dalam sejarah. Banyak perusahaan teknologi lainnya yang mencatat IPO jauh diatas IPO Facebook, Inc. Diantaranya, NTT Mobile (1998) sebesar US$18 miliar, AT&T Wireless (2000) sebesar US$ 10.6 miliar, dan Telstra (1997) sebesar US$10.2 miliar.
